INTERPRETERS USER AGREEMENT

1.AGREEMENT

You agree that by clicking “Join Now”, accessing and using our services, you are entering into a legally binding agreement with Oregon Health Care Interpreters Association (“OHCIA”) (even if you are using our Services on behalf of a company).

This “Agreement” includes this User Agreement, our Privacy, Cancellation and Subscription Policies.

MEMBERSHIP ELIGIBILITY

To be part of the Pacific Northwest Interpreter HUB (OHCIA), you agree that: (1) you must be 18 years old or older.

(2) you will only have one membership account, which must be in your real name and will not be shared with anyone else. Provide accurate information to us and keep it updated.

(3) You have not been excluded and your name is not included in the Exclusion Database of the Office of Inspector General (OIG). For more information on this database, review their website HERE.

YOUR MEMBERSHIP

You'll keep your password a secret.

You will not share your membership account with anyone else and will follow our rules and the law. As between you and others, your account belongs to you. You agree to:

(1) choose a strong and secure password.

(2) keep your password secure and confidential.

(3) be responsible for anything that happens through your account unless you close it or report misuse.

PAYMENT

You'll honor your payment obligations and you authorize Paypal to store and continue billing your payment method (e.g. credit card) to avoid interruptions and to facilitate easy automated payments of your membership.

Failure to pay these fees may result in having your profile inactive and not accessible for others to see and/or termination of your subscription.

UPDATES, EXCLUSIVE INVITATIONS AND/OR MEMBERSHIP MESSAGES

By providing your contact information, you agree that we may reach out to you either via email to the address you provided or through other means including mobile number, mailing address or informative newsletters. You agree to keep your contact information up to date.

ASSIGNMENT OPPORTUNITIES MESSAGES

When and in the event that a message gets sent to you by one of our corporate members (agencies, hospitals and others), to discuss the possibility of being part of an assignment, you agree to always acknowledge and confirm receipt of the message, as well as to accept or deny the participation of the assignment in question.

TO THE EXTENT ALLOWED UNDER LAW, OHCIA (AND THOSE THAT OHCIA WORKS WITH TO PROVIDE THE SERVICES) (A) DISCLAIM ALL IMPLIED WARRANTIES AND REPRESENTATIONS (E.G. TRADEMARKS The Company name, Oregon Health Care Interpreters Association, the acronym OHCIA, the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You agree not to use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners. INFORMATION ABOUT YOU AND YOUR VISITS TO THE WEBSITE All information we collect on this Website is subject to our Privacy Policy. By using the Website, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. USER AGREEMENT TERMINATION & REFUND POLICY (1) Termination Policy This agreement may be terminated at any time by either party by providing notice to the other. The following elements shall survive termination: Sections 4, 7, 8, 9, 10, 12, 14, 15 & 16 of this Agreement; Any amounts owed by either party prior to termination remain owed after termination. DISPUTE RESOLUTION

The parties will make commercially reasonable efforts to resolve any disputes. Disputes not so resolved will be submitted to mediation under the mediation rules of the American Arbitration Association, with each party bearing its own expenses of mediation.

The rights and liabilities of the parties arising or related to this agreement will be governed by the laws of the state of Oregon, venue in any legal proceeding will be exclusively in the state or federal courts in Oregon, and the prevailing party will be entitled to recover all expenses of litigation including reasonable attorney’s fees.

OHCIA - Pacific Northwest Interpreter HUB - “DOs and Don’ts” (1)DOs. You agree that you will:

Comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements; Provide accurate information to us and keep it updated; Use your real name on your profile; Use our Services in a professional manner. (2) DON’Ts. You agree that you will not:

Act dishonestly or unprofessionally. Create a false identity in our web portal. Create a Member profile for anyone other than yourself. Send spam or other unwelcomed communications to others. Limitation on Time to File Claims [ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.]

Waiver and Severability No waiver by the OHCIA of any term or condition set out in this user agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under this user agreement shall not constitute a waiver of such right or provision.

If any provision of this user agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions will continue in full force and effect.

Entire Agreement This agreement constitutes the sole and entire agreement between you and OHCIA regarding the Website, OHCIA services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

Linking to the Website and Social Media Features You may link to our homepage, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part[ without our express [written] consent].
